Date Trellium Corporation Limited (WWA) 29 Templar Drive Toronto, ON, Canada M9R 3C6 Attn: Legal Affairs Dear Sir/Madam: By cover of this letter, I am submitting the enclosed talent audition tape to WWA (“Materials”). The Materials are submitted for review by WWA based on the following understanding and agreement: 1. I represent and warrant that I am the author of the Materials; that I am the present and sole owner of all right, title and interest in and to the Materials; that I have the exclusive, unconditional right and authority to submit and/or convey the Materials to WWA upon the terms and conditions set forth herein; and that no third party is entitled to any payment or other consideration as a condition of the exploitation of the Materials. 2. I acknowledge that because of its position in the entertainment industry WWA receives numerous unsolicited submissions of ideas, characters, stories, suggestions and the like and that many such submissions received by WWA, including the Materials herein, are or may be similar to or identical to those developed by WWA or its staff. I agree that I will not be entitled to any compensation as a result of my submission of the Materials, regardless of whether such Materials or materials similar thereto are used by WWA now or in the future. I also agree not to assert any claims of ownership against WWA with respect to WWA’s use of any materials that may be at all similar in any manner whatsoever to the Materials submitted herein. 3. I agree to indemnify WWA from and against any and all claims, expenses, losses, or liabilities (including, without limitation, reasonable attorneys fees and punitive damages) that may be asserted against it or incurred by it at any time in connection with the Materials, or any use thereof, including without limitation those arising from any breach of the warranties and promises given by me herein. 4. I agree to give WWA written notice by registered mail of any claim arising in connection with the Materials or arising in connection with this agreement, within thirty (30) calendar days after I acquire knowledge of such claim, breach or failure to perform or if it be sooner, within thirty (30) calendar days after I acquire knowledge of facts sufficient to put me on notice of any such claim, breach or failure to perform; my failure to so give WWA written notice will be deemed an irrevocable waiver of any rights I might otherwise have with respect to such claim, breach or failure to perform. 5. This agreement shall be governed by, and construed in accordance with, the laws of the Province of Ontario applicable to agreements executed and to be fully performed therein. In the event of any dispute concerning the Materials or concerning any claim of any kind or nature arising in connection with the Materials or arising in connection with this agreement, I hereto agree to submit solely to the jurisdiction of the applicable Court located in Toronto, Ontario, Canada. I agree that service of process by mail shall be effective service of same and such service shall have the same effect as personal service with the Province of Ontario and result in personal jurisdiction over me in the forum in the Province of Ontario. The provisions contained in this paragraph shall survive the termination and/or expiration of this agreement. 6. I have retained at least one copy of the Materials and I release WWA from any and all liability for loss or other damage to the copies of the Materials submitted to WWA hereunder. 7. I agree that I may not assign or license my rights hereunder. 8. I hereby acknowledge and agree that there are no prior or contemporaneous oral agreements in effect between WWA and me pertaining to the Materials, or pertaining to any other materials (including, but not limited to, any agreements pertaining to the submission by me of any ideas, formats, plots, characters, or the like previous hereto). I further agree that no other obligations exist or shall exist or be deemed to exist unless and until a formal written agreement has been prepared and entered into by both WWA and me, and the rights and obligations of and to the parties herein shall be only such as are expressed in said formal written agreement. 9. Should any provision or part of any provision be void or unenforceable, such provision or part thereof shall be deemed omitted, and this agreement with such provision or part thereof omitted shall remain in full force and effect. 10. I have read and understand this agreement and no oral representations of any kind have been made to me and this agreement states my entire understanding with reference to the subject matter hereof. Any modification or waiver of any of the provisions of this agreement must be in writing and signed by me.
